2020 Stilwater POA Annual Meeting

Call to Order

The annual meeting of the Stilwater POA was called to order at 10:00 AM on October 3, 2020 via Zoom.  

Establish Quorum

Representatives of 24 lots were present, 7 proxies were held by the Board, and 0 proxies were held by others, for a total of 31.  A quorum was established.

Review of Zoom Procedures - Linda

Linda reviewed the Zoom procedures and provided a sample poll as a test.

Introduction of Officers and Committee Chairs - George

Present and introduced were George Leasure, President; Linda Ettinger, Vice President, Tina Orndorff, Secretary; Mike Tumbarello, Treasurer, Judy Gaudelli, Member-at-Large and Steve Bentz, Chair of the Architectural Review Committee.

Review and Approval of Minutes of September 23, 2019 Meeting

The 2019 Stilwater POA Annual Meeting minutes were unanimously approved as presented.   

Reports from Officers:  

President’s Report – George Leasure

• George reviewed the attached report with the POA including the increase in complaints and changes in the rules. Among the other items listed in the report, George also asked owners with rentals to post rules in conspicuous location in their home.
   

Treasurer’s Report – Mike Tumbarello

• Reviewed Balance Sheet as prepared by Boal and attached to the minutes.  
   
• Reported that some accounts were delinquent in dues assessment payments, but there has been good response to letters.   
   
• Notified the POA that we hope to have PayPal or Stripe capability in place next year.  
   
• Reviewed increase in expenses and 10% increase in assessment was approved by the Board.  
   

Vote to Approve 2021 Budget – Mike presented the 2021 Budget to the POA. The 2021 Budget was unanimously approved as presented.  

Website Update – Linda

• Added updated Rules and Regs, Bylaws and Covenants to the POA website.  
   
• Includes information on the ARC process.
   
• Rules for rentals including Rental Agreement form.
   
• Looking to add link to pay dues.  
   

ARC Report – Steve

• Steve reviewed the ARC’s report attached to the minutes.
   

Property Manager Report – Debbie

• Unique year, busy and challenging.
   
• Record number of new owners.
   
• Call Debbie to report concern or with comments or questions.
   
• Boats must be out of docks by Oct 12th.
   
• Please keep contact information current.
   
• Call Debbie with rental complaints.
   
• Tripco previously provided email updates regarding weather, activities, etc. and will get that back up and running in the near future.
   
• Updated list of lot owners will be sent out with meeting minutes.  
   
• May be time to replace dumpster gate hinge.  
   

Nomination and Election of Board Members – Tina

Tina reported that there are two open Board positions. George Leasure and Linda Ettinger’s terms expire. The Nominating Committee nominated George for one open seat and Linda for the second. Positions are for two-year terms. Tina asked for nominations from the floor. Hearing none, the ballot was sent to the membership via Zoom poll. George and Linda were unanimously elected for two-year terms.   

Concerns and Questions from the Lot Owners  

The Board answered questions from the POA regarding lake water levels, broken glass, trespassers at lakefront, trash and adding fees to rental properties. During the discussion of docks and low water, George asked the POA about purchasing two sections of dock at $3,800 each. After discussion, a motion was duly made and seconded to approve the purchase of two dock sections. The motion passed unanimously.  

Next Annual Meeting Date

In accordance with the Bylaws, the next annual meeting will be held October 2, 2021, the first Saturday in October. A motion was duly made and seconded. The motion carried.

A motion was made and seconded to adjourn the meeting. The meeting was adjourned at 11:50 AM.
